1. Acceptance of Terms

By installing, accessing, connecting, or using the SalesWIP software add-on, website, integrations, tools, or related services collectively referred to as the “Service,” you agree to these Terms of Service set forth by Sales Work In Progress LLC, the developer and owner of SalesWIP.

If you do not accept these Terms, you must refrain from installing, accessing, connecting, or using SalesWIP. Your continued use constitutes your understanding and acceptance of all terms outlined herein.

If you are using SalesWIP on behalf of a company or organization, you represent that you have the authority to accept these Terms on behalf of that company or organization.

2. Description of Service

SalesWIP is a sales forecasting and opportunity revenue modeling tool designed to simplify the sales opportunity revenue forecasting process.

SalesWIP may be used with Google Sheets™, Salesforce.com, Microsoft products and services, SAP products and services, spreadsheet tools, business systems, sales platforms, finance tools, marketing tools, customer relationship management systems, enterprise resource planning systems, and other third-party software programs.

For Google Sheets™, SalesWIP is designed to help sales professionals and managers quickly profile expected monthly revenue by selecting a visual pattern that represents how monthly revenue is expected to come in. For example, an upward sloping line may represent increasing revenue, while a downward sloping line may represent decreasing revenue. SalesWIP may also allow users to perform Monte Carlo simulations on selected sales opportunities.

SalesWIP may connect to, process, organize, or display sales opportunity data, revenue forecasts, assumptions, and related business data from third-party software programs when authorized by the user.

3. User Obligations

You agree to use SalesWIP responsibly and in compliance with these Terms.

You agree to the following:

  • Compliance: You will use SalesWIP in compliance with all applicable laws, regulations, third-party platform rules, and software provider terms.

  • Use Policy: SalesWIP is provided for personal, educational, and commercial use.

  • Authorized Access Only: You will only connect accounts, systems, files, software programs, or data that you are authorized to access and use.

  • No Unauthorized Access: You will not modify, reverse-engineer, decompile, disassemble, or attempt to access SalesWIP’s source code.

  • No Misuse: You will not use SalesWIP for unlawful, fraudulent, deceptive, harmful, or unauthorized purposes.

  • No Interference: You will not interfere with, disrupt, overload, or compromise the security or functionality of SalesWIP.

  • No Harmful Code: You will not upload, transmit, or introduce viruses, malware, scripts, or other harmful code through SalesWIP.

Sales Work In Progress LLC may suspend or terminate access to SalesWIP if Sales Work In Progress LLC believes that your use violates these Terms, creates security risk, violates third-party platform terms, or may harm Sales Work In Progress LLC, other users, third-party providers, or any other person or organization.

4. Third-Party Software Integrations

SalesWIP may allow you to connect, import, export, view, process, or work with data from third-party software programs and platforms. These may include, but are not limited to, Google Sheets™, Google Workspace™, Salesforce.com, Microsoft products and services, SAP products and services, spreadsheet tools, business systems, customer relationship management systems, enterprise resource planning systems, sales tools, finance tools, marketing tools, data platforms, and other third-party software programs.

When you authorize SalesWIP to access a third-party software program, you grant Sales Work In Progress LLC permission to access, process, store, transmit, and use the information made available through that connection only as necessary to provide, maintain, secure, support, and improve SalesWIP, as further described in our Privacy Policy.

Third-party software programs are governed by their own terms, policies, permissions, account settings, subscriptions, and security controls. Sales Work In Progress LLC is not responsible for third-party software programs, their availability, their functionality, their security, their terms, their data practices, or their handling of your data.

You are responsible for ensuring that you have the right to connect third-party software programs to SalesWIP and to authorize the processing of any data made available through those connections.

5. Google User Data and Google API Compliance

If SalesWIP accesses Google user data, including data from Google Sheets™ or Google Workspace™, Sales Work In Progress LLC will use that data only as described in our Privacy Policy and only as necessary to provide, maintain, secure, and support SalesWIP.

Sales Work In Progress LLC’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Sales Work In Progress LLC does not sell Google user data. Sales Work In Progress LLC does not use Google user data for advertising purposes. Sales Work In Progress LLC does not transfer Google user data to third parties except as necessary to provide or improve SalesWIP, comply with applicable law, protect rights or security, prevent abuse, or as otherwise disclosed in our Privacy Policy.

Sales Work In Progress LLC does not allow humans to read Google user data unless one of the following applies:

  • You have given Sales Work In Progress LLC explicit permission to do so for support or troubleshooting.

  • Access is necessary for security purposes, such as investigating abuse or a technical issue.

  • Access is necessary to comply with applicable law.

  • The data has been aggregated, anonymized, or otherwise processed so that it cannot reasonably identify you or your organization.

You may be able to manage or revoke SalesWIP’s access to Google data through your Google account settings.

6. Third-Party Platform Data

If SalesWIP accesses data from Salesforce.com, Microsoft products or services, SAP products or services, or other third-party software programs, Sales Work In Progress LLC will use that data only as described in our Privacy Policy and only as necessary to provide, maintain, secure, and support SalesWIP.

Sales Work In Progress LLC does not sell third-party platform data. Sales Work In Progress LLC does not use third-party platform data for advertising purposes. Sales Work In Progress LLC does not transfer third-party platform data to third parties except as necessary to provide or improve SalesWIP, comply with applicable law, protect rights or security, prevent abuse, or as otherwise disclosed in our Privacy Policy.

You may be able to manage or revoke SalesWIP’s access through the settings of the applicable third-party software program.

7. Customer Data

“Customer Data” means the information, files, spreadsheets, records, sales data, pipeline data, opportunity data, account data, customer data, forecasts, revenue assumptions, business data, and other content that you upload, connect, enter, submit, authorize, or make available through SalesWIP.

You retain ownership of your Customer Data.

By using SalesWIP, you grant Sales Work In Progress LLC a limited right to access, process, store, transmit, and use Customer Data only as needed to provide, maintain, secure, support, and improve SalesWIP, comply with legal obligations, and enforce these Terms.

You are responsible for the accuracy, quality, legality, permissions, and reliability of your Customer Data. Sales Work In Progress LLC is not responsible for errors, omissions, incomplete information, inaccurate data, unauthorized data sharing, or business decisions made based on inaccurate or incomplete Customer Data.

8. Intellectual Property Rights

All intellectual property rights in SalesWIP, including but not limited to software, source code, features, workflows, processes, design, logos, branding, documentation, and related materials, are the sole property of Sales Work In Progress LLC or its licensors.

You are granted a non-exclusive, non-transferable, revocable license to use SalesWIP in accordance with these Terms.

No part of SalesWIP may be copied, modified, distributed, sold, leased, sublicensed, reverse-engineered, or used to create derivative works without prior written consent from Sales Work In Progress LLC.

9. Privacy Policy

Sales Work In Progress LLC respects user privacy and processes data only as described in the SalesWIP Privacy Policy.

The SalesWIP Privacy Policy explains what information may be collected, how that information is used, how it may be shared, how it is protected, and how users may request deletion or manage access.

Your use of SalesWIP is also governed by the SalesWIP Privacy Policy, which should be reviewed before installing, accessing, connecting, or using SalesWIP.

10. Security

Sales Work In Progress LLC uses reasonable technical and organizational measures to help protect SalesWIP and Customer Data. However, no system is completely secure.

You are responsible for securing your own devices, accounts, passwords, third-party software settings, user permissions, internal access controls, and connected systems.

11. Forecasts, Simulations, Calculations, and Business Decisions

SalesWIP may help organize, calculate, model, display, simulate, or analyze sales forecasts, revenue projections, pipeline assumptions, opportunity data, and related business information.

Sales Work In Progress LLC does not guarantee sales results, revenue outcomes, forecast accuracy, business performance, pipeline performance, customer conversion, profitability, or any specific business result.

You are responsible for reviewing all outputs, calculations, assumptions, simulations, reports, recommendations, and projections before making business decisions.

12. Disclaimer of Warranties

SalesWIP is provided “as is” and “as available” without warranties of any kind, either express or implied.

To the fullest extent permitted by law, Sales Work In Progress LLC disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and compatibility.

Sales Work In Progress LLC does not guarantee that SalesWIP will be error-free, uninterrupted, secure, accurate, complete, or compatible with every third-party software program.

Sales Work In Progress LLC does not guarantee that third-party software programs, including Google Sheets™, Google Workspace™, Salesforce.com, Microsoft products or services, SAP products or services, or other platforms, will remain available or compatible with SalesWIP.

13. Limitation of Liability

To the fullest extent permitted by law, Sales Work In Progress LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with the use of SalesWIP.

This includes, but is not limited to, lost profits, lost revenue, lost data, business interruption, loss of goodwill, lost opportunities, inaccurate forecasts, inaccurate calculations, or decisions made using SalesWIP.

To the fullest extent permitted by law, Sales Work In Progress LLC’s total liability for any claim related to SalesWIP will not exceed the amount you paid to Sales Work In Progress LLC for SalesWIP during the three months before the claim arose, or one hundred dollars if you have not paid Sales Work In Progress LLC.

14. Changes to the Terms

Sales Work In Progress LLC reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms.

The “Last Updated” date above will be updated when changes are made.

Your continued use of SalesWIP after the updated Terms are posted constitutes acceptance of the new Terms.

15. Refund and Dispute Policy

  • Refund Window: For paid plans, you may request a full refund within 14 days of the initial purchase or renewal date by emailing support at admin@saleswip.com. After this period, fees are non-refundable.

  • Subscription Mid-Cycle: Monthly subscriptions are not prorated if cancelled mid-cycle. Annual subscriptions cancelled within the 14-day window receive a full refund; afterwards, no partial refunds are issued.

  • Disputed Charges: Contact Sales Work In Progress LLC in writing within 30 days of the charge date to dispute a fee. Please provide the transaction ID, date, and reason. Sales Work In Progress LLC will investigate and respond within 10 business days.

  • Chargebacks: Initiating a chargeback without first contacting support may result in immediate suspension of your license pending resolution.

16. Cancellation Policy

Cancellation stops future billing, but your license remains active until the end of the current paid period.

You are responsible for cancelling your subscription before the next billing date if you do not wish to be charged for the next billing period.

17. Termination

Sales Work In Progress LLC may terminate or suspend your access to SalesWIP with 30 days prior notice.

Sales Work In Progress LLC may also suspend or terminate your access sooner if Sales Work In Progress LLC believes that you have violated these Terms, failed to pay applicable fees, misused SalesWIP, created a security or legal risk, violated third-party platform terms, or used SalesWIP in a way that may harm Sales Work In Progress LLC, other users, third-party providers, or any other person or organization.

You may stop using SalesWIP at any time. You may also revoke SalesWIP’s access to connected third-party software programs through the settings of the applicable third-party account, where available.

After termination, your right to use SalesWIP will end. Certain sections of these Terms will continue to apply, including sections related to intellectual property, payment obligations, privacy, disclaimers, limitations of liability, disputes, and governing law.

18. Data Deletion Requests

You may request deletion of Customer Data associated with your SalesWIP account by contacting Sales Work In Progress LLC at admin@saleswip.com.

Sales Work In Progress LLC will process deletion requests in accordance with applicable law, technical limitations, backup retention practices, legal obligations, and the SalesWIP Privacy Policy.

Revoking access to a third-party software program may stop future access but may not automatically delete data previously processed by SalesWIP. To request deletion, please contact Sales Work In Progress LLC.

19. Governing Law

These Terms are governed by the laws of the State of Texas without regard to conflict of law principles.

Any disputes will be handled in the courts located in Harris County, unless applicable law requires otherwise.

Sales Work In Progress LLC is not affiliated with, endorsed by, or sponsored by Google LLC, Salesforce, Inc., Microsoft Corporation, SAP SE, or their affiliates.
